These Terms of Service (“Terms”) govern your access to and use of the TET Life website, online store, and related services, including the products, content, features, tools, and services made available through the website (collectively, the “Services”).

The Services are operated by Wadeley Trading Limited, a company registered in Hong Kong, under the TET brand.

In these Terms, “TET,” “TET Life,” “we,” “us,” and “our” refer to Wadeley Trading Limited and, where applicable, the TET brand and related business operations. “You” and “your” refer to the person accessing or using the Services.

TET Life is powered by Shopify, which provides the e-commerce platform that enables us to provide the Services.

Please read these Terms carefully before using our website or placing an order. These Terms contain important information regarding your rights and obligations, including provisions concerning orders, payments, intellectual property, disclaimers, limitations of liability, and dispute resolution.

By accessing, browsing, purchasing from, or otherwise using our Services, you agree to be bound by these Terms and the policies incorporated into them, including our Privacy Policy, Return, Refund & Exchange Policy, Shipping Policy, and Warranty Policy.

If you do not agree to these Terms or the applicable policies, please do not access or use our Services.

1. Access and Accounts

By using our Services, you represent that you are at least the age of majority in your jurisdiction, or that you are using the Services under the supervision and authorization of a parent or legal guardian where permitted by applicable law.

You may be required to provide certain information when using our Services or placing an order, including your name, email address, billing information, payment information, shipping address, and other information necessary to process your transaction.

You agree that all information you provide to us is accurate, current, complete, and that you have the legal right to provide such information.

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for activities conducted through your account.

2. Our Products

We make reasonable efforts to ensure that product names, descriptions, specifications, images, colors, dimensions, features, and other information presented on our website are accurate and current.

However, actual product colors or appearance may vary depending on your device, screen, display settings, lighting, photography, or other technical factors.

Our products may include portable power systems, outdoor cooking equipment, accessories, components, battery-powered products, and other outdoor products developed and offered by TET from time to time.

Product specifications, designs, configurations, features, packaging, and availability may change as we develop and improve our products.

We may introduce new products, accessories, configurations, or product generations in the future.

We reserve the right to modify, discontinue, or limit the availability of any product or Service at any time, subject to applicable law.

Nothing in this section limits any statutory consumer rights applicable to you.

3. Orders and Order Acceptance

When you place an order through our website, you are submitting an offer to purchase the products included in your order.

After submitting an order, you may receive an order confirmation email. An order confirmation does not necessarily mean that TET has accepted your order.

An order will be accepted when TET confirms acceptance, begins fulfilling the order, or otherwise indicates acceptance, as applicable.

We reserve the right to refuse, modify, or cancel an order where permitted by applicable law, including for reasons such as:

  • Product availability;
  • Errors in product information or pricing;
  • Suspected fraud or unauthorized transactions;
  • Shipping restrictions;
  • Unavailability of delivery to the requested destination;
  • Unusual or excessive order quantities;
  • Violation of these Terms or applicable law.

If we cancel or modify an order after payment has been received, we will refund the applicable amount using the original payment method, subject to applicable law.

You are responsible for reviewing your order carefully before submitting it.

Order Cancellation

You may request cancellation of an order after placing it, subject to the order’s fulfillment status and the cancellation rules applicable to that order.

Once an order has been processed for fulfillment or shipped, we may be unable to cancel it.

Any refund resulting from an approved cancellation will be processed in accordance with our Return, Refund & Exchange Policy and applicable law.

Unless otherwise required by applicable law, purchases made through the Services are intended for personal or household use and not for unauthorized resale or commercial redistribution.

4. Pricing, Billing, and Payments

Prices, discounts, promotional offers, and other pricing information may change from time to time.

The price applicable to your order is generally the price displayed when your order is placed, subject to correction of pricing errors as permitted by applicable law.

Prices may be displayed in different currencies depending on your location and available payment settings.

Applicable sales taxes, VAT, shipping charges, duties, or other charges will be presented at checkout where applicable.

For applicable orders, import duties may be included in the amount charged by TET. Local sales taxes, VAT, or other consumption taxes may be charged or remain payable by the customer as required by applicable law.

You agree to provide accurate, current, and complete billing and payment information.

By submitting payment information, you represent that:

  1. The payment information is accurate and complete;
  2. You are authorized to use the applicable payment method;
  3. The payment method may be charged for the amount of your order; and
  4. You will pay all applicable amounts associated with your purchase.

Payments may be processed through Shopify Payments, PayPal, or other payment providers made available through our website.

Your use of third-party payment services may also be subject to the applicable terms and policies of those providers.

5. Shipping and Delivery

Shipping and delivery are subject to our Shipping Policy, which forms part of these Terms where applicable.

We provide estimated fulfillment and delivery times when available. Unless otherwise expressly stated, such estimates are not guaranteed.

Delivery may be affected by circumstances outside our reasonable control, including carrier delays, weather, transportation disruptions, customs processing, inventory availability, or other unforeseen events.

Our fulfillment location may vary depending on the product, destination, inventory availability, and logistics arrangements.

At present, certain orders may be fulfilled from a warehouse in the United States. TET may use additional fulfillment locations in other regions in the future.

You are responsible for providing an accurate and complete delivery address.

If your order arrives damaged, is lost, or experiences a significant delivery issue, please contact us promptly so that we can investigate the matter and work with the applicable carrier where appropriate.

Nothing in this section limits any mandatory rights or remedies available to you under applicable law.

6. Intellectual Property

All content and materials made available through the Services, including, without limitation:

  • TET and TET Life names, logos, trademarks, and brand elements;
  • Product names and designs;
  • Product images and videos;
  • Product descriptions and specifications;
  • Website design, layout, graphics, and visual elements;
  • Text, photographs, illustrations, audio, and audiovisual materials;
  • Software and other website materials;

are owned by, licensed to, or otherwise lawfully used by Wadeley Trading Limited, its affiliates, or applicable licensors and are protected by applicable intellectual property laws.

TET owns or has rights in trademarks, product-related intellectual property, patents, designs, copyrights, and other intellectual property rights applicable to its products and brand in relevant jurisdictions.

Unless expressly authorized by TET in writing, you may use the Services only for personal, non-commercial purposes.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, license, or commercially exploit any part of the Services without prior written permission, except to the extent expressly permitted by applicable law.

Nothing in these Terms grants you any ownership interest or license in any TET or TET Life trademark, patent, copyright, product design, or other intellectual property except for the limited right to use the Services as permitted by these Terms.

“TET,” “TET Life,” product names, logos, designs, and slogans are trademarks or other intellectual property of their respective owners.

Shopify names, logos, products, and services are trademarks of Shopify or its affiliates.

7. Third-Party Services and Optional Tools

Our Services may provide access to certain tools, applications, payment services, integrations, or other services provided by third parties.

We do not necessarily control, monitor, or endorse third-party services.

Third-party services may be subject to their own terms, conditions, and privacy policies.

Your use of any third-party service is at your own discretion and risk.

TET is not responsible for third-party services or for losses arising from your use of such services to the extent permitted by applicable law.

We may introduce additional features, tools, integrations, or services in the future. Unless otherwise stated, those additions will also be subject to these Terms.

8. Third-Party Links

Our Services may contain links, embedded content, applications, or other materials provided by third parties.

We do not control and are not responsible for third-party websites, products, services, content, policies, or practices.

The inclusion of a third-party link does not constitute an endorsement or guarantee by TET.

If you choose to access a third-party website or service, you do so at your own risk.

Any transaction, purchase, communication, or interaction between you and a third party is governed by that third party’s applicable terms and policies.

9. Relationship with Shopify

TET Life is powered by Shopify, which provides the e-commerce platform through which we offer the Services.

However, purchases made through the TET Life online store are transactions directly between you and Wadeley Trading Limited.

Shopify is not the seller or merchant of record for products sold through TET Life and is not responsible for the products, fulfillment, refunds, returns, customer service, or other aspects of transactions between you and TET, except where otherwise required by applicable law.

You acknowledge that Shopify and its affiliates are not responsible for claims, losses, damages, or liabilities arising from or relating to your purchase or use of products purchased from TET, except to the extent such limitations are prohibited by applicable law.

10. Privacy

Your use of the Services is also governed by our Privacy Policy.

Our Privacy Policy explains how TET collects, uses, stores, discloses, and otherwise processes personal information in connection with your use of the Services.

Because the Services are provided through Shopify, Shopify and certain third-party service providers may process personal information as necessary to operate the store, process payments and transactions, provide fulfillment services, prevent fraud, maintain security, and provide other related services.

Your information may be processed or transferred to jurisdictions outside your country of residence where reasonably necessary to provide the Services.

Please review our Privacy Policy for additional information about the handling of personal information by TET, Shopify, and relevant service providers.

11. Customer Reviews, Feedback, and Submissions

If you submit, post, upload, email, or otherwise provide TET with reviews, comments, suggestions, ideas, photographs, videos, testimonials, feedback, or other content (“Feedback”), you grant TET a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, display, and otherwise use the Feedback for legitimate business purposes, including operating, improving, promoting, and marketing our products and Services, subject to applicable law.

You represent and warrant that:

  • You own or have the necessary rights to submit the Feedback;
  • Your Feedback does not violate any third-party rights;
  • Your Feedback does not contain unlawful, defamatory, misleading, obscene, abusive, or fraudulent material;
  • Your Feedback does not contain malicious software or code; and
  • Your submission does not impersonate another person or misrepresent the source of the Feedback.

You remain responsible for the content and accuracy of your Feedback.

We are not obligated to keep Feedback confidential, compensate you for Feedback, or respond to Feedback unless otherwise required by law or expressly agreed by TET.

We may refuse to publish or remove Feedback that we reasonably believe violates these Terms, applicable law, or the rights of others.

12. Errors, Inaccuracies, and Omissions

From time to time, information on the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, availability, shipping charges, delivery estimates, or other information.

We reserve the right to correct errors, inaccuracies, or omissions and to update or modify information at any time, subject to applicable law.

Where permitted by law, we may cancel or modify an order affected by a material error in pricing or product information.

If an affected order is cancelled after payment has been received, we will refund the amount charged for the cancelled portion of the order.

13. Prohibited Uses

You may use the Services only for lawful purposes.

You agree not to use the Services:

  1. For any unlawful, fraudulent, abusive, or malicious purpose;
  2. In violation of applicable laws, regulations, or third-party rights;
  3. To infringe or violate the intellectual property rights of TET or others;
  4. To harass, threaten, abuse, defame, or harm any person;
  5. To submit false or misleading information;
  6. To transmit viruses, malware, malicious code, or other harmful materials;
  7. To interfere with or disrupt the operation or security of the Services;
  8. To collect or track another person's personal information without authorization;
  9. To send spam, phishing communications, or other unauthorized messages;
  10. To impersonate another person or entity;
  11. To copy, scrape, crawl, extract, reproduce, resell, or commercially exploit the Services without authorization;
  12. To use bots, automated systems, scripts, or other automated methods in a manner that interferes with or circumvents the Services, access controls, or security measures; or
  13. To circumvent, disable, or interfere with security features or other protective measures.

We may suspend or terminate access to the Services where permitted by applicable law if we reasonably believe that you have violated these Terms or applicable law.

14. Automated Access

You may not use bots, automated systems, agents, crawlers, scraping tools, scripts, or similar technologies to access or interact with the Services in a manner that:

  • Interferes with the operation of the Services;
  • Places unreasonable demands on our systems;
  • Circumvents security or access controls;
  • Collects information in violation of these Terms or applicable law; or
  • Misrepresents the source or nature of the activity.

We may use reasonable technical measures to limit or block unauthorized or harmful automated access.

Nothing in this section prohibits lawful activities that TET is required to permit under applicable law.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Services where permitted by applicable law, including where we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive conduct, or created a security or legal risk.

Termination or suspension of access does not affect rights or obligations that accrued before termination.

Any provisions that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, Feedback, disclaimers, limitation of liability, indemnification, governing law, and other applicable provisions.

If you have an accepted and paid order at the time your account or access is terminated, termination will not automatically cancel that order unless otherwise provided by these Terms or applicable law.

16. Disclaimers

To the maximum extent permitted by applicable law, the Services and information provided through the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the Services will always be uninterrupted, timely, secure, accurate, complete, or error-free.

We do not guarantee that information available through the Services will always remain current or suitable for any particular purpose.

Product performance, specifications, battery capacity, charging performance, cooking performance, operating time, and other characteristics may vary depending on product configuration, environmental conditions, operating conditions, usage, power requirements, maintenance, and other relevant factors.

To the maximum extent permitted by applicable law, we disclaim implied warranties and conditions, including warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, durability, title, and non-infringement, except where such warranties cannot legally be excluded or limited.

Nothing in these Terms excludes or limits any warranty, guarantee, consumer right, or remedy that cannot legally be excluded or limited in your jurisdiction.

Product-specific warranty coverage is governed by our TET Warranty Policy.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Wadeley Trading Limited, TET, TET Life, their affiliates, directors, officers, employees, agents, contractors, licensors, and service providers, together with Shopify and its affiliates, will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Services or products purchased through the Services.

Such damages may include, where permitted by law, loss of profits, revenue, business opportunities, savings, data, goodwill, or replacement costs.

This limitation applies regardless of the legal theory on which a claim is based, including contract, tort, negligence, strict liability, or otherwise.

To the maximum extent permitted by applicable law, TET's total aggregate liability arising out of or relating to your purchase or use of a product or Services will not exceed the amount you actually paid to TET for the specific product or Services giving rise to the claim.

Nothing in this section limits liability that cannot lawfully be limited or excluded under applicable law.

18. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Wadeley Trading Limited, TET, TET Life, their affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against reasonable losses, damages, liabilities, claims, and expenses, including reasonable legal fees, arising out of or relating to:

  1. Your violation of these Terms;
  2. Your violation of applicable law or third-party rights;
  3. Your misuse of the Services; or
  4. Your unauthorized use of the Services.

We will provide reasonable notice of any claim for which indemnification is sought.

You agree to reasonably cooperate in the defense of any such claim.

Nothing in this section requires you to indemnify TET for losses caused by TET's own unlawful conduct or to the extent prohibited by applicable law.

19. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.

The invalidity or unenforceability of any provision will not affect the validity or enforceability of any other provision.

20. No Waiver; Entire Agreement

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with the policies and documents expressly incorporated by reference, constitute the entire agreement between you and TET concerning your use of the Services, except where additional terms expressly apply to a particular product, promotion, transaction, campaign, or other activity.

These Terms replace prior versions of our Terms of Service concerning the same subject matter.

Any ambiguity in these Terms will not automatically be interpreted against the party responsible for drafting them.

21. Assignment

You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.

We may assign, transfer, or delegate our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or other business transaction, or as otherwise permitted by applicable law.

22. Governing Law and Disputes

These Terms are entered into with Wadeley Trading Limited, a company registered in Hong Kong.

To the extent permitted by applicable law, these Terms and your use of the Services will be governed by the laws applicable to Wadeley Trading Limited and its operations, without giving effect to conflict-of-law principles.

Nothing in these Terms is intended to exclude, restrict, or override mandatory consumer protection laws applicable to you in your country, state, province, or other jurisdiction of residence.

Any dispute arising out of or relating to these Terms or the Services shall be brought before a court of competent jurisdiction, subject to any mandatory rights you may have under applicable law.

Nothing in this section prevents you from exercising any mandatory statutory consumer rights, remedies, or dispute-resolution mechanisms available to you under applicable law.

For consumers in the European Economic Area and other jurisdictions with mandatory consumer protection laws, those mandatory protections will continue to apply where required.

The headings used in these Terms are provided for convenience only and do not affect the interpretation or enforceability of any provision.

24. Changes to These Terms

You may review the most current version of these Terms at any time on this page.

We reserve the right to update, modify, or replace any part of these Terms from time to time.

Where required by applicable law, we will provide notice of material changes.

Updated Terms will become effective on the effective date stated in the updated Terms, unless otherwise required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

From time to time, TET may introduce or promote products through Kickstarter or other crowdfunding, pre-launch, early-access, reservation, or similar campaigns.

Participation in a crowdfunding campaign, pre-launch program, reservation, early-access offer, or similar activity may be subject to additional campaign-specific terms presented in connection with that activity.

Unless expressly stated otherwise, participation in a crowdfunding campaign is not the same as placing a standard retail purchase order through the TET Life online store.

Campaign information, estimated delivery dates, product specifications, rewards, fulfillment arrangements, availability, and other campaign-related information may be subject to the specific terms of the applicable campaign.
